As flagged up HERE yesterday, the maths just did not stack up. And thus for the second time Adam Reynolds chaired Belluscura (BELL) has had to revise its all-share offer for cash shell TMT Acquisitions (TMT). First it was 15 shares for every 22, then it was 3 for 4 and today it is a straight 1 for 1. I am glad that Nigel Wray et al have done the decent thing but how do the maths now stack up? And actually is it still a good deal?

Nigel Wray attended my most recent wedding almost ten and a half years ago and he is my friend. Or I really hope that he still is. I do not wish that to change but the optics of the proposed takeover by Belluscura (BELL) of TMT Acquisitions (TMTA) now look terrible for him and he should insist that it be renegotiated. I flagged this up in Bearcast yesterday but I now dig deeper and bring in comment from Evil Banksta who is short of Belluscura.

Dev Clever (DEV) has some very belated results out today. Its failure to update on current cash tells you it is almost bust. So too, I suggest, is its proposed RTO target Veative. And also Asimilar (ASLR) the listed company most of whose NAV is Dev related. I analyse the results and explain, not that Nigel Wray will want to hear this, why the Dev valuation is a joke. This whole mess is a £180 million nest of snakes.

I have no great animosity towards it, the truth is that I rather fell out of love with rugby after it went professional. But there are a lot of folks out there who really do dislike Saracens, not only for winning so much silverware in recent years but also for the way it appears to have broken the rules on the wage cap to achieve this. You may remember that Rivington Street had the chance to dramaticaly improve its finances by selling the t1ps businesses, including Master Investor, to Nigel Wray for half a million quid back in 2012. A deal was signed and agreed and then poor Jim Mellon was persuaded that this busines,s which had always been profitable with me in charge, would be so much more profitable if left in the hands of Richard “Gollum” Gill and a clown called Mark Robertson rather than useless old TW. Sadly for Jim he believed Gollum et al. It started losing cash at once and that dragged Rivinton over the edge. Nine years later we have the latest accounts for what is now the Master Investor Group which is wholly owned by Jim. Ouch.

This gets more insane by the minute. Wildcat Petroleum (WCAT) shares are up by another 22% at 3.35p today valuing this company which listed with a £2.4 million valuation on December 30 at an astonishing £80 million. The founder, who paid £35,000 for his stake just fifteen months ago now sits on shares valued at £56 million. Move over Nigel Wray, Jim Mellon et al… Mandhir Singh is Britain’s real Buffett!

Have I judged Oisin Fanning of San Leon (SLE) by a different standard to, say, Neill Ricketts of Versarien (VRS)? Sure. Would I not judge, for instance, Cheryl Cole by a different standard in the looks department than, say, Diane Abbott? Yes I would. And I bet Cheryl is also better at singing, counting and more or less everything else than Ms Abbott too. Management is key to it all in the world of investing as I discuss today.

I have long since stopped blaming Jim Mellon. He is more of a victim of bad advice than I was in this matter. My old company had the chance to sell the Master Investor show and its profitable financial publishing business to Nigel Wray. At the last minute, Jim was persuaded by staff, notably Richard “Gollum” Gill, that it should not sell and investors were told that problems were down to the old management (i.e me) and that new management was turning it around. Wind forward eight years.

On June 29 this year, just over a month ago, the management of Reach4Entertainment (R4E) told us that despite the lockdown of the London and New York theatres it serviced, it was sitting, as a result of prudent cash management, on net funds of £12 million – almost thrice the market cap. Today, 5 weeks later, we are told the company is leaving AIM and worse is to come. Shareholders, you are being screwed by management and big shareholders such as fund manager Katie Potts and Nigel Wray.

As it happens I am in the process of buying a number of new mattresses for the house I have rebuilt in Greece. And it seems a remarkably simple process buying what is a commodity product. When my friend Nigel Wray says his mattress company Simba is revolutionising the market I cough and change the subject. But he is not the only one who thinks that mattresses need “disrupting”. Natch, Neil Woodford, the UK's most conceited fund manager, also thinks that, like washing machines, mattresses are ripe for a revolution. He owns just under 30% of Eve Sleep (EVE) shares of which are now in free fall.

Paul Scott had too much to drink the night before and thus failed to appear for this mid morning session on value investing at UK Investor Show. At one minute's notice I stepped into his shoes with Paul promising the organisers that he would arrive within ten minutes. He did not turn up at all. Though I over-ran by about five minutes as I adjusted & winged it using as a basis a pretty piss poor agenda Paul had set the session still worked very well I thought, a testimony to the expertise of Nigel Wray and Paul Jourdan of Amati.

To tip Quindell before Gotham City and I started to expose it was perhaps understandable. But to single it out as a stunning value investment afterwards? Who could have been so fecking dumb? As you can see HERE it was the same system also that thought Globo was a cracking investment when some of us very publicly said it was a fraud. Which system could be so bad? Step forward Ed Croft and Stockopedia and he says that Nigel Wray invests in "sucker stocks"?. I explain why Ed's system is bound to have some horrible failures and miss a stack of big winners. In this podcast I look back at a very valid point made by Dr Hon at UK Investor on a cancer still at the heart of the City. I look at AIQ (AIQ), San Leon (SLE) and Paragon Entertainment (PEL) - another Finncap debacle. Then I turn to Ed Croft and UK Investor who was rude to me ( who cares) as he over-ran his allotted time and pretended otherwise by slating me. He also called Nigel Wray a sucker for his investments. Ed: how rich are you? How many AIM stocks have you backed in a major way where you could have m,ade 100* your money? But I am sure you are right and Wray is a sucker. And then Ed presented data which though accurate allowed him to leap to a totally wrong conclusion. If I was scoring his thesis I explain why I'd have to give it a fail. Or as that is now on campuses today a 2:1. Unlike Ed I did not insult someone else on the main stage on their big day as that would have been rude but his nonsense needs correcting.

Background. Last year Paul turned up late for the UK Investor Show bearcast as he had gone to the wrong venue. This year I felt safe as two hours before the bearcast I knew Paul was due on the main stage with Paul Jourdan & Nigel Wray and he would not screw that up would he? Er.... As I walked off from the previous session I was told Scott was running 10 minutes late and so I agreed to start his session with Wray and Jourdan for him. 35 minutes later I was still there, over-running by a few minutes but managing well ( I thought). Still no sign of Scott. Anyhow in this bearcast I start off with five minutes on Blockchain with Malcolm Palle of Coinsilium (COIN) then it is onto Scott who seems not to understand that a fact is something that has happened, it is derived from the Latin. The Sunday Times front page splashed with news of a forthcoming AIM IPO in the music streaming world, Electric Jukebox. It is an easy splash in that my pal Nigel Wray, Britain's Buffett, is an investor and the company has celebrity "investors" lead by Cheryl Crow whose face beams out of the paper. British Airways staff were again brilliant today. On Saturday I arrived at Kalamata airport with a barely mobile father and weak step mother. Within minutes a cute airline lady had helped me get a wheelchair for my father and i was told my job was over. The lady put them at the front of the line and I had nothing more to do. Today it was the turn of the Mrs. We arrived and the small departure lounge was again heaving with lobster pink Northern Europeans forming long lines to check in for flights to London and Paris.
I found a different cute airline lady and said that my wife was heavily pregnant, as she is, and within minutes she was again at the head of the queue leaving dozens of the lobster pink Brits and froggies fuming behind her. Then she was through passport control and was off and I headed back to town to face another three to four weeks at the Greek Hovel with just the snakes and rats for company.
When the Mrs is here I am on holiday so I only work 3-4 hours a day at my PC and I do no manual labour at all. I enjoy three meals a day and more than the odd drink. "After all we are on holiday" say I as I order another ouzo. I get to sleep on clean sheet in an air conditioned hotel and enjoy swims in luxury pools. The Mrs is paying and it is a treat. I enjoy my hols with the Mrs. We talk, we plan, we discuss. Life without the Mrs is very different.

As the leaves start to turn brown you may not be thinking about next April but we are as we plan the biggest and best UK Investor Show ever. Concha (CHA) is quite possibly the biggest ramp on AIM. I Know that my pal Nigel Wray owns 10% but, sorry mate, the current valuation is just ludicrous.
This company was floated by Chris Akers as an investment vehicle last year and within six month it had poured nearly all its cash into companies that essentially – turned out to be frauds.

The UK Investor Show 2014 yesterday was a sell-out show which attendees seem universally to have enjoyed. The 90 growth companies attending say that they enjoyed engaging with some quite spirited investors and everyone had a ball. For me the highlights were:
1. Making the Queen of Tech, Vin Murria laugh not once but twice on stage. That should be a career high to retire on. I found her session with CEOs Stephen Streater, John Wisbey and Marcus Hanke utterly riveting.
2. Value investing with Nigel Wray, Ed Croft, Paul Kavanagh and Chris Bailey really was very different to what we have done before in this area. All were smooth, self-deprecating but really insightful.
3. In the shareholder activism session Paul Scott & Roger Lawson did not hold back while our “ordinary investors” Nigel and Richard showed how anyone can make a difference on the AIM Cesspit.
4. Amanda van Dyke’s legs in the mining session. The Goddess was in fire. In fact that whole session was again illuminating with Amanda showing she is a hell of a lot more than a pretty face and Dom Frisby letting tip in a way that makes me think he should join shareholder activism next year. Should I tip a gold stock or two? On balance not yet.
5. Ben Edelman was a real showman but also a geek who knows his stuff. I really wish Blinkx had taken up my offer to respond to Ben as he made some really massive points.
6. The bears seemed united on Globo. We had laughs all the way but Matt Earl, Lucian Miers and Evil also made some very valid points.
7. The after show party for speakers and gold ticket holders. The winner of the financial celebrity make a pizza competition was Ed Croft followed by Paul Scott (but he cheated with his training in Domino’s). Sandra Spencer…don’t give up your day job. Paul Scott has tweeted that I was a “charming” person. I shall be consulting my lawyer

The big news today is that a true mega star has agreed to fly to Britain for one day only to headline at The UK Investor Show in London on April 5. Meet Ben Edelman. If you are a Blinkx (BLNX) shareholder you will already have done so – you have lost more than 50% of your money since he produced a detailed report on the company.
Professor Edelman will make a rare London appearance as the headline speaker at The UK Investor Show on April 5 in Westminster
Edelman shot to prominence in the UK with his recent analysis of Blinkx. Edelman argued that Blinkx adware sneaks onto users’ computers, violates regulatory requirements, and overcharges advertisers. Blinkx denies the allegations. Its share price continues to slide.
Much of Edelman’s recent work examines the activities of Google. In 2010, he uncovered the Google Toolbar continuing to track users’ web browsing even after users asked that the toolbar be disabled and even after the toolbar disappeared from view. His most recent article examines Google’s Mobile Application Distribution Agreement terms – previously-secret documents that he says impede competition by alternatives apps and services, and drive up prices to consumers.
Recently labelled the “web sheriff” by Bloomberg, Edelman will be speaking on the questionable business practices of a variety of Internet companies, ranging from giants like Google to smaller firms including Blinkx.
Edelman joins a 42 strong main stage line up on April 5th including Nigel Wray, Terry Smith, Vin Murria, Evil Knievil, Mark Slater, Dominic Frisby, bear raiders Lucian Miers and Matt Earl and blogging supremo Paul Scott.

I started discussing this e-book late autumn with my friend Stephen Eckett. So it has been a long time a coming but, I reckon, it is worth the wait. The 49 Golden Rules for Making Money from Shares was published as an e-book today. It can be bought for £10.25 on Amazon but we have 500 free copies (now only 460 left) to give away on a first come first served basis.
Most investment books seem to be large enough to keep the front door open and while some contain gems it is hard to find them amid the verbiage. The aim here is to produce a shorter guide which simply cuts to the chase. I hope that it will provide food for thought for everyone from beginner to expert but whoever you are it should be quick and easy to read and digest.
I do not claim to get every investment call right. Over the years I have got it right far more than I have got it wrong but I freely admit to some bad decisions. I hope that as I approach 25 years writing about shares I have learned from my mistakes.
Part of that learning process comes from listening to folks who really know what they are doing and learning from them. As such I should thank for their assistance, at one point or another over almost 25 years, in helping me distil my ideas or in providing some ideas themselves either wittingly or unwittingly ( by talking to an attentive me), men such as Nigel Wray, Mark Slater, Jim Mellon, Malcolm Burne and the great Clive Wolman.
With every rule I aim to be short, sharp and to the point. This is a book you can read all in one go or just a few rules at a time. I offer up as an example Rule 21:
Do not buy shares on the basis of long term forecasts in a rapidly changing industry
The shares trade on a PE of 240 but do not worry, says the company, on the basis of broker forecasts we trade on a 2019 PE of 4 so we are cheap? Hmmmm. How is it that the company is able to predict such explosive growth? Simple it has a new technology which will change the way the world operates. That may indeed be the case but in any industry where technology is rapidly evolving what is new and market leading today or next year could well be superseded by an even newer and more exciting development in the future.
This applies most often when it comes to looking at technology stocks. One simply cannot extrapolate sales growth patterns from a small base going out many years when an industry is by its nature dynamic.
Of course those 2019 forecasts might be right but frankly forecasting out six years is not forecasting but guessing even on the basis of what is already known, let alone what is not known (the potential launch of an even better new product). Buying shares on the basis of long term forecasts in a rapidly changing sector is not investment but pure speculation and it usually ends in tears.

The company is delighted to announce that it has issued shares to a) grow the business by acquisition b) to provide working capital to grow the business c) in response to institutional demand or d) all of the above. Very rarely does a company say that it is issuing shares because it is running out of cash. The reality is that this is all too often the reason. And some companies seem rather keener on issuing shares than others. The reason: management and shareholder misalignment.
Nigel Wray always bangs on about this and he is right. When you invest in a business you want the CEO and other key personnel to want exactly the same thing as you which is, if we cut to the chase, the share price to go up with a few dividends as a bonus.
Now it is very rare for a PLC director to have no skin in the game at all via shares. When that is the case you really have to ask why? However if you skim through the annual reports of all too many AIM companies you will see that the shareholding of the main men (and women, lest I be accused of sexism) is, in absolute terms, not great. And relative to their total compensation it can often be trivial.

I am still completely wiped out. It is incredibly draining doing presentation after presentation and half way through the post event celebrations I fell asleep (ok I had enjoyed a few drinks as well) but I still feel utterly drained. And so once I have ruined a few other weekends by breaking news of a planning oil company merger involving a well-known name I think I am off to sleep again.
Thanks for the many emails from folks who said that they enjoyed the show. On balance so did I. I thought that the talks were more interesting than for many a year. They have been put on video and so will start to go up from Tuesday in a variety of places. But suffice to say you should register now at www.shareprophets.com to catch many of them.
The location was not ideal. Not least that in order to feed my addiction I had to scrounge a spare packet of Marlboro Light from David Lenigas who had thoughtfully come well supplied. But ADVFN and I know enough now and the show was a success and so we are now planning for UKInvestor 2014. Watch this space – we will announce the date soon.
Highlights for me?
The young man who now writes tips appearing disguised in dark glasses to gain entry (not having booked a ticket). When spotted by Steve Moore, he claimed that he was at Excel to go to the International Cake show down the hall and made a swift exit.
Nick Leslau and Nigel Wray – optimistic about the UK economy and as a double act far more powerful than as individuals. A lot of wisdom was shared by the pair.
Losing the debate with Richard Poulden once again. I am now 3-2 down but I really will try to do slides next year and stage a comeback.
Mark Slater. The obligatory dirty joke but the quality of his analysis of the markets and of individual stocks (three of which have been tipped by myself and Steve) was incredible.
Nigel Farage – unscripted, lucid, funny and on most issues bang on the money. I had a good chat with him and Chris Booker after the event and he is a very funny and pleasant chap. C Booker’s Thatcher tribute was bang on the money and nailed a number of leftie canards.
Above all I really enjoyed meeting so many of you who attended (particularly, I should say, David from Oxford). Thanks for all the kind words and I hope that you enjoyed the day. On stage I had more fun than I have had for years. I can say what I like these days and I feel like a weight has been lifted from my shoulders. I actually enjoyed the day in a way that I have not enjoyed MI days for a long time. With the speakers, stand holders and the audience I felt far more at home than I can remember being for years.
The home team from RMPC & ADVFN staging our first show should be thanked, notably John W, Clem, Fiona and especially Mike Hodges and from our side Darren, Nigel, Sarah, Steve, Robert Sutherland Smith and Martha. It was their first run at this, the second time is always easier.
So thank you to all who attended. ADVFN and RMPC starts work on Monday on UK Investor 2014 which will be bigger and different. I hope to see even more of you there then.

PS I should mention one other highlight. The after show pool games. I defeated Andrew Bell of Red Rock. Zak Mir fluked a victory against me. And then it was the final: The UKIP volunteers against myself & Zak. They had been trying to persuade Zak to sign up to UKIP although he is obviously a bit too right wing for them. And so with the prize being that if Zak and I won they would allow him to become the party’s immigration spokesman (Zak’s views are unprintably stern on this matter, making Evil seem like a total Guardian reader) we played. The bad news for UKIP is that Zak and I won.

We are lucky to have a speaker already lined up at the UK’s top investor show which takes place this Saturday April 13th who knew Margaret Thatcher well. In fact we have several but in light of the sad demise of Britain’s greatest Prime Minister we have moved Christopher Booker, the founder of Private Eye and celebrated Sunday Telegraph columnist to the main stage during the afternoon to talk about “The Margaret Thatcher I knew – nearly always right in the end.”
I chatted to Booker – who is my uncle and godfather - this morning and our reflections on the Iron Lady covered her Euro scepticism, the treachery of her colleagues, the lie that she supported apartheid, her conversion from a supporter of global warming theory to becoming an ardent global warming sceptic and many other issues. Booker will cover how and why her views changed on these and other topics and how our leaders today might perhaps reflect on this.

The UK’s only serious one day investor conference is now less than three weeks away. Details can be found at www.UKinvestorshow.combut the final touches are now being put in place for what seems set to be an explosive day. If you have registered for a ticket it will by now have landed with you. A bit more on tickets later but first to the prizes on offer for those attending.

I think sound and vision nailed once again. I am finally getting the hang of this. I am meant to be celebrating St Patrick’s Day with some Irish-for-a-day folk which means just mindless drinking. Known as Britain’s Buffett, Nigel Wray is one of the UK’s most successful investors of the past three decades. I wrote last week about how he had sold £25 million shares in Domino’s Pizza (DOM) at 525p (share he paid 36p for). I am not sure that Wray was right to sell then but you cannot really argue with such a Master Investor. Wray’s only other holding in a FTSE 250 listed stock is Telecom Plus (TEP) – which, since my last article has published an in-line trading statement.

You were getting used to the scruffy look. Well both I and my blog have had a makeover today. Me? I am not in court for another libel trial. I am off to a City lunch in Chiswell Street as the guest of Nigel Wray. It is a sporting lunch. As there will no doubt be a lot of chatter about English rugby in triumphalist terms I shall have to bite my lip. Please can we talk about English cricket instead?

It is now easy to tweet or email a link to an article to all your mates and also to do the same via Reddit (not that I have the foggiest what Reddit is). I really would not discourage you from doing all three things. Go on…have a go.

I wrote positively towards the end of last month on then just released 2012 results from Domino’s Pizza Group (DOM) – commenting that “as a core mid cap growth and income holding the company continues not to put a foot wrong and at 525p the shares remain undervalued”. However, a couple of days later the company announced significant share sales by non-executive Chairman, Stephen Hemsley, and non-executive director Nigel Wray. Despite this the shares are now 573p. So should you follow Hemsley and my old friend Wray and sell a few?

Those who are not registered to receive my twice weekly Tomograph Newsletter may have missed this news but on Friday, ADVFN issued a regulatory release announcing that all 2500 seats at the UK Investor Show on April 13 had already been booked. We know other shows are struggling to fill seats but the speaker line-up at UKInvestor Show is so awesome that a full house was never in doubt. Wray, Slater, Leslau, Evil, Lucian, Frisbey, Van Dyke, Booker, etc simply do not appear at other shows. Anyhow, thanks for booking. I do ask one favour.

When we first announced that Nigel Farage would be one of our 25 speakers at the show I know that certain folk at my former employer scoffed at the idea. Heck, I knew – and ticket bookings reflect this – that he is not the major draw but I wanted him there since I am a UKIP sympathiser. Hey ho, I see that Nigel is now speaking at the other show. Imitation is the sincerest form of flattery. I somehow think that our headline speakers of Messrs Wray, Leslau, Slater, etc will not be making a double appearance at the other, smaller, event.
Incidentally having already announced the first 30 PLC stands at UKInvestor Show we will be announcing the next 20 very shortly. Watch this space.

That is the news as of tonight. On a day when two more PLCs signed up to present (Ariana Resources and The Innovation Group) we did our sums and there are now just 50 seats out of 2,500 left unallocated for what is clearly the UK’s leading investment show.
It is hardly surprising that two months before the event, nearly all the seats are allocated given the all star speaker line up:

The leader of UKIP will talk about how staying in the EU costs all of us so much and why we should leave now.
