Microsalt (SALT) tried to raise £10-15 million ahead of an IPO last October but for some unexplained reason, Nomad Zeus postponed the IPO. On 1 February it joined the AIM sewer after raising £3.15 million gross (£2.5 million net) at 43p giving an £18.5 million valuation. Today, after announcing what it termed a “vital” deal earlier this week, the shares are 112.5p so valuing it at just over £48 million. Really?

Late on Thursday night the final placing letters were received and Allenby wrapped up on a 3.75p £1.2 million placing for Chill Brands (CHLL) having missed its targets by a country mile. Within hours the press was reporting Government plans to ban disposable vapes, Chill’s product. The placing only actually settles on Wednesday 31st so should places be able to get it reversed and get their hard-earned back?

There is one possible get out of jail card on the lying: that it did not lie but merely breached AIM Rule 11. This was the company that said it needed to do a 100 for 1 share consolidation so that it could pay a dividend. Natch it has not paid a dividend in the 33 months since but has placed numerous times and its shares have now collapsed by 98% since the consolidation having been 99% down before it. Oh dear, oh dear. The FCA had the chance to clean up the sewer that is the Standard List by forcing all companies to retain a regulated advisor, rather as AIM Companies have to retain a Nomad. Fearing losing its license a Nomad should, in theory, stop companies telling outright lies or committing fraud, as happens all too often on the Standard list. Cloudtag (CTAG) was a bulletin board darling which we exposed as a bankrupt fraud on this website numerous times HERE. Eventually the company’s Nomad, Liam Murray at Cairn Financial, arrived at the same conclusion and gave his notice of resignation. However the company then raised £975,000 via broker Novum without telling Novum or anyone else about that resignation. Murray thus resigned with immediate effect and Novum unwound the placing while, with no other Nomad prepared to take on this toxic client, it was booted off the AIM sewer in March 2017.

On Monday 16 May at 7.40 AM, shares in AIM listed Bulletin board darling Eurasia Mining (EUA) were temporarily suspended at just under 8p “pending an announcement.” At 6.18PM on Tuesday 17th (today) came that announcement. In March this year WH Ireland was approached to become joint broker to Vast Resources (VAST). It conducted due diligence and that threw up so many red flags about the business but also about boss Andrew Prelea that WH Ireland said that it could not act. The email exchange detailing this has found its way via Winnileaks to myself and is published below. It is damning and all credit to WH Ireland for putting principle before profit. But Nomad Roland Fatty Cornish has been made aware of the same issues and appears to think that a) it is just after two so time for the third course of a six course luncheon and b) that he should just carry on taking the cash come what may. Lunches don’t pay for themselves after all. Enablers like Fatty are why AIM is a sewer. Assisted by the FCA the SEC has charged Octagonal’s main subsidiary, Global Investment Strategy UK Ltd. (GIS), for clearing and settling billions of dollars of U.S. securities transactions without registering as a broker-dealer in violation of the federal securities laws. The SEC also charged John William Gunn, its founder and principal, with aiding and abetting those violations. Kerboom. You cannot say that I have not warned you for years that Gunn – who also runs uber dog Inspirit (INSP) – was a prize rotter.

Two weeks ago, an article HERE forced Verditek (VDTK) to admit on August 12 2020 that the two big contract wins announced in 2019 had not gone through but it had raised money without telling investors of these massive setbacks. Despite incteasingly desperate attempts to ramp its share price, AIM dog Bidstack (BIDS) sees its stock marooned at 6p. Interestingly, the spread is wide enough to drive a bus through, indicating market makers are aware that either one last ramp but also that a deeply discounted bailout placing may be imminent. But the bare fact is that the company cannot both meet May payroll and satisfy short term liabilities. As such, its shares should surely be suspended pending clarification of its financial position. This morning we discover that AIM listed jam tomorrow purveyor Tern (TERN) has again passed the hat around with a discounted placing raising £1.75 million at 11.15p. The court filing below hangs Frontera (FRR) in its own words. It makes it clear that it is in default on the Outrider loans so is likely to lose all its assets. It also lays bare its failure to secure external funding throughout the past nine months and its now utterly parlous financial state. The shares should be suspended first thing Monday. If not they will utterly collapse. If you have ignored my repeated warnings and can sell Monday do so at any price. And this document may trigger another FCA investigation.
For it shows that Outrider can veto any new loans - surely that is something Frontera should have revealed when claiming it had a $60 million term sheet (i.e it had asked for a loan). Surely that non disclosure misled investors? How long can Nomad Cairn continue to act for Frontera? A resignation and share suspension surely cannot be ruled out in light of this latest bombshell.

At 5.45 PM yesterday Denzil Jenkins of the AIM Regulation team called Nomad ZAI. No-one answered so he left a message on its answerphone informing the Nomad that it was to lose its Nomad status at 6 PM that day and that its clients would be contracted at that time with the news. AIM listed Eden Research (EDEN) has been engaging on fraudulent deals with related party company Terpenetech for six years now. The first deal was a sale which Eden booked but Terpenetech never paid for. Who cares, Eden kept that debt as a current asset for 5 years. Coral Products (CRU) served up its interim results on December 8 with a bullish statement on the rest of the year. Today we are told that "a poor trading performance at its Coral Products Mouldings Limited subsidiary during November and December 2016 group profitability for the year ending 30 April 2017 is likely to be materially below management's and market expectations." I sensed that those close to the fraud African Potash (AFPO) were getting skittish and now I can reveal that the first adviser has indeed handed in its notice. And I am not surporised as to who it is that has shown that it puts morality ahead of money.
The adviser quitting is St Brides PR. St Brides, you may remember, acted for the sister company to Potash, Sable Mining (SBLM) which last week said it was quitting the AIM Casino amid its own problems with a major bribery scandal. St Brides quit that account a good while back, whereas Nomad Cantor Fitzgerald hung on to the bitter end.
Congratulations to St Brides which shows that not all folks in PR are total rotters only interested in money. I have today published the lawyers letter sent by Memery Crystal - lawyers to Globo - but which also acts for the fraudsters African Potash (AFPO) demanding money from me, trying to gag me but also admitting that its client has committed securities fraud. On December 1 2015 AIM listed African Potash (AFPO) announced what appeared an incredible marketing deal for its fertiliser with a company called Beryl - of course nothing has come of the deal and what African neglected to mention was a £600,000 bung. A source in London has sent me the signed contract. One month and 12 days ahead of a bailout placing investors were grossly mislead as to the nature of the Beryl deal. Powerhouse Energy (PHE) withheld information from its investors for almost two years (the non payment of a legal claim) and then again failed to mention that this dispute was going legal for six weeks. We have today penned an open letter to George Osborne regarding the ever-growing scandal of the ShareProphets AIM-China Filthy Forty. Mr Osborne, you will remember, is keen to see greater links forged between the London and Chinese markets. Earlier today we flagged up that Chris Oil was committing market abuse by revealing information given to him as an insider in claiming that he owned bonds in MX Oil (MXO). We passed this information onto the Nomad by sending it our article - apparently no-one at Cairn understands how twitter works. We all knew that at the October 6 EGM, team Chris Oil would win and that the current directors – bar Jossy Rachmantio would be booted out to be replaced by ADVFN’s (AFN) Clem Chambers and Mike Hodges. Sefton (SER) has now thrown in the towel but the drama is far from over.
Oil and Comrade Dan Levi have now withdrawn their EGM requisition and Jossy has agreed to welcome Chambers and Hodges to the board at some time in October. At that point Nomad Allenby will quit.

Of the Filthy 40 China stocks listed on AIM on June 1 2014 or listed since, ten have already been booted off the Casino while shares in four are suspended. At no-one is watching a clock yesterday AIM listed Hotel Corp (HCP) directors published a document seeking to thwart boardroom change at this disaster story and save their grubby tax free pay packets. Sadly for them I have obtained a series of emails which show that the document contained a series of lies. Worse still I have obtained accounts showing how 22% shareholder and ex Nomad to Hotel Corp, Shore Capital has coined it in from this vehicle, making millions, as shareholders have lost everything. The fraudster Rob Terry of Quindell (QPP) infamy is a busy guy as he prepares for the inevitable dawn raid by the Serious Fraud Office as a precursor to a trial and a custodial jail sentence. His latest posting on the website of his new vehicle Quob Park is quite simply delusional.
Terry discusses the merits of getting a public listing HERE and argues that it would be better if Quob Park did not list. Hmmm. We can think of another good reason or fifteen why a listing is not going to happen. How about the fact that Quob’s founder (Mr Terry) is the subject of a SFO Criminal Investigation? Or the fact that PWC has come out and said that the accounts he prepared at Quindell (and even its IPO document) were plain fantasy? Or that Mr Terry misled the poor lambs at KPMG in relation to prior audits? The list goes on. And on. And on.
It is just inconceivable that a Rob Terry entity could gain a public markets listing. Even the AIM casino would say no and no Nomad in town would touch Terry with a bargepole.

The epic fiasco surrounding the New World Oil and Gas Placing may be the last straw but Beaumont Cornish has form going back years. Even with regard to just this one company there have been serial disasters, but there are more cases where Beaumont Cornish has failed in its duties as Nomad.
If the Laughing Stock Exchange and the chocolate teapots of the FCA are going to try to maintain any pretence whatsoever that the AIM market is policed then Beaumont Cornish has to be made to pay the price. In this article we outline some of the scandals presided over by this squalid firm. Investors have lost money through incompetence, lies, fraud and cronyism where Beaumont Cornish is supposed to have acted as the long arm of the regulator, but has failed. Token private taps on the shoulder or fines of the magnitude of a good lunch are not enough. Public and summary execution is now the only way forward. The latest AIM casino debacle to show London’s worst Nomad ZAI Corporate Finance as not fit for purpose concerns casino listed Ukrainian dairy products group Ukrproduct (UKR) and it is a true shocker.
I have warned for ages that this company was – given the situation in the Ukraine – just complete junk (see HERE) but just how much junk is now clear and again it shows that ZAI due diligence with client take-ons is not worth a bucket of soiled toilet paper.
On 23rd December a trading statement signed off by then Nomad Cantor Fitzgerald seemed upbeat enough given the fact that the Ukraine currency was going down the toilet as the country descended into open civil war. But at least we were reassured that: “The Group's cash levels and bank facilities are sufficient to meet current debt obligations in the short and medium term”. Hmmm – how does one define medium term?
The next RNS of note was on March 31 when it was announced that it had switched Nomad and broker from Cantor Fitzgerald to big Ray Zimmerman’s ZAI. Now Cantor is not top flight but still it is like announcing that you are chucking, say, the half decent girl next door in order to run off with Norah batty (without the makeup and on a bad day).

Coms (COMS) is the gift that keeps on giving. In today’s instalment we have wholesale market abuse and the question of when the Nomad might jump ship. Meanwhile the company needs to clarify its financial position. Is it trading only thanks to the support of banks who could pull the overdraft at any time? Methinks yes.
The market abuse first. Yesterday a blog post appeared HERE which purported to give specific details of a takeover bid at 5.6p per share even naming the party. Aussie based AIM casino listed Mosman Oil & Gas (MSMN) shares were at one stage last year ramped up to 45p on the back of some fairly “aggressive” claims about drilling success. They are now just 4.875p after interim results beg the question of whether this business is insolvent yet?

If Quindell (QPP) was not in serious trouble with its Nomad Cenkos and facing an imminent suspension of trading in its shares it would have issued an RNS today. It did not. The stand in bosses of Quindell, The captains that will see the ship go under are Mr David Currie and the insider dealing Rob Fielding. Market abuse covers many sins but one is to give a misleading impression of the value of securities as a result of false statements. Quindell had told investors that it would achieve cash breakeven in Q3 2014. In fact it managed to beat this target thanks to a number of covert measures which hid the true picture. This is market abuse (FCA) but also a breach of AIM Rules. I have therefore written to both the FCA and AIM Regulation and cc’d in the hapless chumps at Nomad Cenkos demanding an urgent investigation. I write:

I have this morning tried to shake off the most almighty of hangovers caused by the Quenron (QPP) celebrations of last night, by penning an open letter to Cenkos, Nomad ((pro tem) to the fraud Quindell. Cenkos needs to force Quindell to make a statement now regarding margin calls that Rob Terry, Larry Moorse and Steve Scott must be facing.
Their loan agreements with Equities First Holdings LLC which allowed them to dump vast amounts of shares pretending that they were buying have a default clause agreement which means that if the Quenron share price falls below a certain point the three crooks, I mean directors, must either default, hand over more shares to Equities First or hand over cash. I am sure that they will go for option two (handing over more worthless shares) which Equities First will then dump. But investors need to know this information and need to know now. Hence the letter to Cenkos which natch I have cc’d in to AIM Regulation and the market abuse team at the FCA. It reads.

Daniel Stewart (DAN) earns its living as a Nomad and broker to AIM listed stocks. That is to say it charges fat fees for advising them on how to play by the AIM rules, for listing them and for raising money for them. It has no standards so was responsible for bringing Quindell (QPP) to the Casino and also acts as Nomad to China fraud Naibu (NBU) and tried to float China fraud Fraspens in August but seems to have failed. Today Daniel Stewart’s shares have been suspended.
On 30 May its auditors of 15 years (Keelings) quit and Daniel Cesspit appointed PriceWaterhouse Coopers to check its books. We know that results for the year to March 31 2014 will have been covered in red ink.

I am sorry to say this but the research note published this morning by my friend (well he used to be) Simon “Wincey Willis of Daniel Stewart on China Chaintek (CTEK) is a total disgrace. I assume Wincey has been leaned on to justify what is obviously a fraud because Daniel Stewart is earning such vast fees as Nomad and broker to Chaintek. Wincey is a good and honest man and hence he drops covert hints that he thinks Chaintek is junk but I urge him to stand up to the reality that Chaintek and Naibu are engaged in fraud. He should explicitly tell clients to sell, even if that means that Daniel Stewart fires him. Simon do not sell your soul in this way.

MoPowered Group (MPOW) raised a gross £3.64 million at 100p when listing on the AIM Casino on December 18 2013. The shares now stand at 20.5p valuing this POS at just over £3.2 million. And while it says that it is going ahead with a £3.5 million fund raise you’d have to be mad to subscribe as this has red flags all over it. Death is all this deserves.
Of course £3.64 million did not go to the company. The admission document reveals that the cost of the IPO and fundraising was a staggering £700,000. That will have paid for an awful lot of hookers and coke at offices of brokers, Nomads, PRs, accounts and lawyers across the City last Christmas. It is a staggering sum. So where are the shareholder’s coke and hookers?
Where are they? Oh don’t be stupid. We shareholders get no coke and hookers. This is AIM. This is crony capitalism. Our money is simply transferred to the Crony Capitalists of the City. The coke and hookers are all for the Square Mile, not for the peasants. We are just there to pay for them.

Shares in Naibu (NBU), the AIM Cesspit posterboy Chinese company that claims to make sports shoes are off 30% today at 35p. You cannot say that I have not warned you that this is an outright Norfolk and interims today make that clear. The target price is 0p.
Before we deal with the interims I want you to note that CEO Houyan Lin elected to take his final dividend in shares not cash. That he did so was information that had to be dragged out of hapless Nomad Daniel Stewart (the company that listed Quenron as well as Naibu) – it knew this on 15 August but failed to tell investors until 10 September.
The scrip dividend was at a price of 64.8p. The market price at election time was sub 50p and Mr Lin knew when electing that interims would be dire and see the share price crater. So why did he take shares not cash (which he could have used to buy shares much cheaper in the market)? Because this is a Norfolk and today’s interims make that clear.
The headline numbers look great.

Apparently at 31p shares in Naibu now trade on a 2015 and 2015 PE of c0.7. Any stock trading on such a rating is either the cheapest stock on this planet or an outright fraud, a Norfolk. Co-written with deputy Sheriff Nigel Somerville: Four times, or perhaps it is five, we have asked the AIM Regulation Team to investigate whether Roland “Fatty” Cornish and his firm Beaumont Cornish, is fit to continue acting as a Nominated Advisor (Nomad) in light of our revelations about events at Digital Learning Marketplace (DLM) in 2012. We now publish a full charge sheet. If Fatty wants to exercise a right to reply we will publish it. Pro tem we will pass this too onto AIM Regulation.
The Nomad system on AIM is supposed to be there to protect investors and ensure that company directors stick to the rules of the market and stay within the law. Nomads charge a fee for this, which investors pay for: it is their assets in the plc that pays the bill, after all. This set-up is the investor’s first line of defence.
The Nomad is supposed to check and verify all company statements put out by RNS before release, as well as niceties such as whether the company is in ‘close’ period when it comes to directors’ share dealing, compliance with AIM rules and so on.
And so, with reference to the scandal that was Digital Learning Marketplace plc during 2012, we bring you the role of DLM’s Nomad, Beaumont Cornish, in all of this.

The rules of AIM are pretty simple and are based on the underlying principle that you cannot tell a blatant lie to investors. For the AIM casino to work, allowing investors to trust PLCs to tell the truth, every statement they issue in an RNS must be verified by the company’s Nominated Advisor (Nomad). Nomads like Roland “Fatty” Cornish of Beaumont Cornish are paid fat fees for doing this work. If they fail to verify an RNS so that a company lies to investors they should be censured by AIM regulation and, in an ideal wold, prevented from acting as Nomad in future. In that vein I have now issued a third request to the AIM Team to investigate Beaumont Cornish and Fatty in particular regarding lies told in 2012 by Digital Learning Marketplace.

Oh dear. Oh dear. If Angus Forrest, the chairman of AIM Cesspit listed Tern PLC (TERN) was having a bad weekend it just got a lot worse as a raft of new documents have fallen into my possession regarding events at DLM (where he was chair) back in July-September 2012. And as for DLM’s Nomad, Roland “fatty” Cornish? Roland, do you just ignore whistleblowers and allow your clients to lie to investors? Fatty you are also deep in the merde now. I have a damning email which you do not wish to seepublished. Oh dear I am not the sort of guy not to publish am I?
But, for now, the Sheriff of AIM has had a good lunch with Mrs Sheriff and is off for an afternoon snooze. I will then start publishing extracts from the documents and emails one by one, demonstrating that Forrest LIED systematically on a range of issues in RNS statements signed off by Fatty. The AIM Regulation Team have confirmed to me that they are already looking into my first formal request to investigate Nominated advisor Beaumont Cornish and its head honcho Roland “Fatty” Cornish. I have today formally requested that the regulators open up a second investigation into what appears to be yet another blatant failure by Fatty to do the job for which he is so generously rewarded.
This all related to a placing undertaking by Digital Learning Marketplace (DLM) , now Alpha Returns (ARGP) in August 2012. The Placing Document stated explicitly that if £300,000 was not raised then any money invested would be returned to investors. Fatty signed off on that placing document. However a subsequent RNS which Fatty again signed off on revealed that less than £277,000 was raised yet all that cash was kept by the company This appears to be a blatant failing by Fatty in his duties as a Nomad and in light of this I have asked the AIM Regulation Team what act of censure it proposes to take against the firm. The Bulletin Board Morons insist that Cenkos, Nomad to Quindell has endorsed the company by publishing a ludicrous buy note with a 90p target. Sorry folks but you do not understand the system and miss the point.
In the City integrated investment banks operates with Chinese Walls between departments. That is to say Cenkos the broker must operate as if it was a different form to Cenkos the Nominated Advisor.
A broker publishes research and helps companies raise money by issuing shares. A Nomad is responsible for regulatory matters. Ultimately it reports to the AIM team and is responsible to the AIM team for ensuring, inter alia, that e very RNS issued by a company has been verified and it’s true.

Poor Phorm (PHRM) …it will have run out of cash within six weeks and so unless it can get away yet another fund raise it will be toast by Easter. But before we look forward to that, I have a number of questions for AIM Cessoit listed Phorm and its former Nomad Liberum about events back in 2012.
On 1st June 2012 Phorm announced that it had managed to persuade an investor to buy 20% of it’s (yet to start up) Chinese subsidiary for £20 million. The implication was that Phorm’s retained stake was worth £80 million and as a read through its operations outside China would be worth an awful lot.

A senior manager at Silverdell (SID) has been in touch and has given me a statement which makes dreadful reading for disgraced CEO Sean Nutley. If the regulators want to nail Sean this is not going to be hard. This statement also makes very awkward reading indeed for Nomad FinnCap.

A flurry of “change of adviser” announcements this morning shows that Libertas is no longer operating as a Nominated Adviser (Nomad) to AIM companies. Was it a voluntary act or was it pushed? Will other Nomads now follow suit?
As of Monday Libertas was still in the game with its main corporate financier, Mr Sandy Jamieson, appearing on an RNS for Cesspit posterboy stock Leed Resources (LDP). But as of today Mr Jamieson is now working for Cairn Financial and most of Libertas’s clients including the pointless Leed, have followed him. The rest have gone to other advisors.

Some of the Bulletin Board loons out there seem to think that the City is on the side of Sefton Resources (SER) in its libel battle with myself and Dan Levi. Au contraire…our big name backers grow by the day. And today came a fascinating endorsement which should make Sefton supporters as well as its uber expensive bully boy City lawyers Pinsent Masons think long and hard.
I posted an open letter via video this afternoon to the AIM regulation team calling on it to suspend Sefton shares pending a full investigation. Heading over to LinkedIN (Facebook for grown-ups) I see that this video has been “liked” by Tim Metcalfe.
I am not sure if I have ever met Mr. Metcalfe but I know full well who he is and he is incredibly well regarded in the Square Mile as a good and honest operator. He is currently joint CEO of the highly regarded City Corporate Finance house Zeus Capital. But until last year he was MD at Northland Partners. And that is where he knows Sefton from because Northland used to act for Sefton as its Nomad until the two parted company.
Why did the two firms part company? Hmmm.. The fact that Mr. Metcalfe likes my call to have Sefton shares suspended might just give you a hint. Fox Davies was Sefton’s next Nomad and it quit because it felt that Sefton was deliberately misleading investors. I already have the head of Fox Davies called as a witness in the forthcoming libel trial to testify to that. But perhaps there is a pattern emerging here? Do you think Mr. Metcalfe would make an interesting witness in the great libel trial?
Or perhaps now that the City is publically starting to back me the AIM Cesspit Regulation team will finally do something to end this farce once and for all and suspend the shares pending a full enquiry.

Last weekend I exposed how Verdes Management (VMP) a company listed on the AIM Cesspit market had misled investors in a series of RNS announcements as it struggled to say afloat in recent months.
Verdes is a tin pot company rapidly running out of cash. The big questions are for WH Ireland, its nominated adviser (Nomad) and broker. The questions go the heart of who misled investors and the failure of the regulatory system on the Cesspit AIM market.

On AIM the Nomad must sign off on any statement. A Nomad must therefore satisfy itself that the statement is true. If a company issues misleading statements ultimately it is the Nomad that should carry the can, although on the Cesspit this never seems to happen. The broker raises money for a client and takes a commission of (usually) 5% for doing so. Both Nomad and broker are paid a retainer by clients such as Verdes.

I met up with Roger Lawson of ShareSoc last week to chat about life and record a video ( see below). The son of a miner, Roger is a self made man and commands my respect for that. When I lash out at an aspect of AIM, the City establishment can dismiss me as a maverick. See if I care. When Roger says what he says, members of the establishment who may ignore me have to listen. And what he says can be pretty incendiary.
We discussed how the Nomad system is broken and how Roger would fix it. How fund managers fail to hold PLC boards to account and also how private investors can hold PLC boards to account. Roger did not hold back.
