Mangold a Swedish Investment bank published a commissioned report on Wyld Networks HERE. Mangold was the bank that helped in the last Wyld fundraise so you’d have to take its price targets with more than a pinch of salt.

Talking about pissing good money after bad. Having raised £400,000 gross (call it £370,000 net) just eight days ago, Tern (TERN) has today spaffed £100,000 standing its corner at Talking Medicines Ltd, an eleven year old cash guzzling crock from Glasgow. Its last accounts are shocking.

Before turning my attention to Daphne du Maurier and underpants I say a few words about betting on the US election where, as I predicted, The Donald is now a racing cert for the GOP Nomination and, I reckon, favourite to win the General. Then it is on to Ceres Power (CWR), Tern (TERN), Zoo Digital (ZOO), Genflow Biosciences (GENF), Verditek (VDTK), Belluscura (BELL) and Centamin (CEY).

Tern (TERN) has announced a placing raising a paltry £400,000 and at just 2p – the shares closed yesterday at 2.875p and were well above 3p just five days ago. Natch the company misleads with its excuses, this is just a sticking plaster which postpones death by just a few months. It’s ouzo on cornflakes time for this website, for the chatroom warriors who knew better it is another wake up call.

I start with some Welsh singing for Darren as he turns 56, then it is Canadian Overseas Petroleum (COPL), Endeavour Mining (EDV), Advanced Oncotherapy (AVO), Online Blockchain (OBC), Wildcat Petroleum (WCAT), Tern (TERN), Reabold Resources (RBD), Mark Slater and Jubilee Metals (JLP).It is January 5 not December 5 as I said twice in the podcast. Apologies. Long covid.

Tern (TERN) has a historically high expense ratio. At the interim stage average net assets were £23,531,000 (31 December 2022 £24,852,000 and 30 June 2023 £22,209,000). The administrative expenses for the six months ended 30 June 2023 were £1,052,000. This equates to an annualised expense ratio of 8.9%.

Make no mistake, Tern (TERN) is now running on vapours and so are a number of its key investments. This is going to end in tears and those tears could be flowing very soon indeed.

I know Tern (TERN) is running on vapours. You know it and Mr. Market knows it. And as such all that tern can do is issue a wholly meaningless update on its portfolio and hope that the fuckwits who invest in AIM dross buy the shares, pushing them higher and so allowing one last deeply discounted placing to get away, giving it a few more months to limp on. Today’s statement ended with an implausible claim about boss Al Sisto.

In this podcast I discuss the damascene conversion of the Mrs on a couple of issues and I say “thank you” to those donating to Woodlarks on the Christmas grotto appeal. I look at Verditek (VDTK), Tern (TERN), Red Rock Resources (RRR), mention Skinbiotherapeutics (SBTX), Cellular Goods (CBX) and have a look at Parkmead (PMG) where i am not convinced that Peter Brailey is right to be just so bearish.

As Tern (TERN) shareholders decide whether or not they will support the proposed issue of 37.5 million new shares as approved at the General Meeting which, at say 5 pence per share (a modest discount to closing mid-price of 5.75 pence per share), would raise £1.875 million before expenses perhaps investors should consider the recent performance of the major investments.

I look at Caracal Gold (GCAT), Tingo (FRAUD), Tern (TERN), Verditek (VDTK), Supply@ME Capital (SYME) and Zamboni’s new float Regtech Open Project whose £60 million valuation is such a joke surely the FCA must act to stop the con.

Tern (TERN) investee company Wyld Networks AB wholly owned UK subsidiary Wyld Networks Limited prepares its accounts under FRS 102. FRS 102 requires at least a 12 month forward looking statement to be made about the ability of a company to continue as a going concern.

In his article yesterday about Tern (TERN) Nigel highlighted Wyld’s weasel words that “the company expects to have sufficient funds to meet its obligations throughout 2023”. If Wyld’s accounts were prepared under IFRS accounting standards or if Wyld were listed on a “Recognised” Swedish stock exchange which would require the use of IFRS, it would not be able to get away with such weasel words but Wyld uses “Swedish Accounting Standards Board’s general guidelines BFNAR 2012:1 Annual Accounts and Consolidated Financial Statements”.

Finally, my last big Rogue Bloggers for Woodlarks training walk this Sunday will be c22 miles. Can you list them in terms of long term career value destruction? I start with Kefi Gold & Copper (KEFI) and some of the daft comments made. The to More Acquisitions (TMOR) and Doc Holliday’s cunning EGM plan which will surely destroy the company and lose it its quote. Then Advanced Oncotherapy (AVO), Red Rock Resources (RRR), Canadian Overseas Petroleum (COPL) and Tern (TERN) which looks to me to be almost bust and where I look forward to reporting its auditors to the FRC when the Fat Lady appears on stage. I should add what I forgot to say in the podcast: Tingo (US:TIO) is the most obvious zero from the province of Norfolk that I have see for ages. And it is shortable.

Should I stay in cash, invest in a safe 4%+ yielding FTSE 100 stock or add to holdings in Skinbiotherapeutics (SBTX) or Jubilee Metals (JLP). Then to economics. the chart below is pinched from Guido and I discuss what it means for UK PLC. In its RNS yesterday Tern (TERN) provided various extracts from Wyld’s 3rd quarter results for the period ended 30 September 2022. I refer to this amazing exposé by Snopes HERE into Max Polyakov, Ukraine’s Elon Musk. Why does it matter: I recall Cupid and the great establishment cover up. Thjis is crime plain and simple and the board knew about it and covered it up. KPMG covered it up. The Nomad did nothing and so too did the Oxymorons at AIM Regulation. The SNP has been lobbying hard for Polyakov. They are all beneath contempt. Then I ask if share buying at Bluebird Merchant Ventures (BMV) is legit. It is. Then I discuss why a whistleblower may or may not have a story about another AIM company, look at Made.com (MADE), Sosandar (SOS), Tern (TERN) and Bidstack (BIDS): two placings , one a pea shooter, one possibly (but probably not) a bazooka.

If you do the maths, the Primary Bid flop for Tern (TERN) announced this morning is really bad news. The amount raised by Primary Bid and in a subscription is just not enough. It is a sticking plaster on a wound bleeding cash when a full tourniquet was needed. And it means that the countdown to the next placing is already underway.

Nigel Somerville has warned you often enough that sub scale investment in cash guzzling crap company Tern (TERN) was running on vapours. It did not have enough cash to fund its bloated PLC costs let alone to feed the gaggle of perennially loss making companies in which it has invested. So today’s after hours RNS will not shock you.

I am after all an expert on divorces and failed marriages. But this one failed even before the two made it to the altar as Pires Investments (PIRI) shareholders rejected an all share merger with TERN (TERN) I salute them. I look at why this deal failed, the logic behind it for Tern (TERN), viz an escape. The logic for Pires – arguably the right strategy but the wrong target – and where both go from here. I make Pires an offer it should accept if it is to consider any more M&A activity.

Recovering from several lectures on the evils of Brexit, I send you greetings from Frogland this Bank Holiday Thursday. In today’s podcast, I look again at the Tern (TERN) – Pires (PIRI) merger. I then discuss three slam-dunk zeros: Kinovo (KINO) – whose shares should be suspended with immediate effect – Versarien (VRS) and Nanosynth (NNN), where the new CEO, Mark Duffin, is a complete clown. If he does a deal in snails, as he suggests, I am a Dutchman.

Today Tern (TERN) published its results for the year ended 31 December 2021 and they showed a profit before tax of £4,578,321 which was a good result. Net asset value increased by 26% per share from 7.3 pence to 9.2 pence per share. Again good. But how does Tern manage to increase its NAV?

I discuss the latest developments in Ukraine. Then I move on to Fevertree (FEVR), Tern (TERN), Braveheart (BRH), Iofina (IOF) and the fraud Chill Brands (CHLL) and the bucket shop based maths based on liquidity, or rather the lack of it.
As explained HERE, sub scale investor in crap companies Tern (TERN) needs to get a placing away by April Fool’s day or it is in deep merde. Hence a desperate attempt to ramp the shares ahead of a visit to the bucket shops for the discounted bailout. Even Tern could not bring itself to make today’s release an RNS. It is an RNS Reach meaning that it is financially immaterial. You will be amazed just how immaterial it is. As such this is a major red flag that a discounted placing is imminent so if you are buying shares in the market today you better lube up.

That is Nigel’s problem. He is just too much of a nice guy as he showed with his piece earlier on the Tern/Wyld cash crisis. I am not so charitable. I am not a nice guy. The crisis is far worse than even Nigel suggests.

The gardening photos from the Welsh hovel will appear later on my own site. Before then I review the 4 retail stocks of the Lucian Miers apocalypse: Versarien (VRS), Supply@ME Capital (SYME), Eurasia (EUR) and Chill Brands (CHLL) and then my 10 stocks to collapse by Christmas. One has fallen so far it is probably not a short now though I would not buy it while three look set to go to zero, possibly as soon as next week in one case. My 10 are Supply, Chill Brands, Versarien, Avacta (AVCT), Wildcat Petroleum (WCAT), Amigo (AMGO), Cineworld (CINE), Argo Blockchain (ARB), Verditek (VDTK) and Tern (TERN). I also look at the oil price and consider whether those sitting on gains might bank a few profits.

Tern (TERN) is always happy to use the Adam Reynolds keyboard to publicise details of new deals for its investee companies but is much shyer about revealing any financial details. Wyld Networks recently published its results for the year ended 31 December 2021, HERE, and unsurprisingly Tern didn’t bother to highlight them probably because financially they were piss poor..

I comment on a kind post one of you made on the LSE Asylum. In today’s Poirot on Channel 10 he had tired of fighting crime in the City and retired to tend his garden. I know how he feels. I discuss events in Ukraine, inflation and how it those who dismiss the damage it causes, Comrade Stacey, are wrong. Then I look at a BB portfolio of death, something for tomorrow’s bearcast. Two stocks which were both in it are Omega (ODX) and Tern (TERN). After last week’s collapse Omega may now be out – though I certainly would not buy. I discuss the common trait of how both mislead investors. I discuss how all folks should own some oil, a point I have made before, naming the 2 oil stocks I own.

An issue I have raised frequently concerns poor quality companies listed on London Markets that cite listing on the US Over the Counter Markets as being a key event for their investors. Some of the Bulletin Board Morons buy into this myth. For instance if you look at the Tern (TERN) Bulletin Board on London South East website you can see some of the morons complain that the CEO Al Sisto hasn’t manged to list Tern implying that this failure might be depressing the share price as US investors can’t invest into Tern.

As I demonstrated HERE, April Fool’s Day is too late for AIM listed, sub scale, investment company Tern (TERN)- it needs a placing before then or it will be crash landing in tits up alley. No institution will touch this POS with a bargepole so it is an inevitable trip to the bucket shops for a discounted raise. The shares are now 11.75p. The NAV is not going to be anymore than 8p and is falling so what price to you think the placing will be at?

Today’s news from Tern (TERN) is welcome because it has reduced its future cash flow burn by finding new partners to fund InVMA or Konektio. The downside is that Tern has diluted its stake from 50% to 36.8% just as the company is experiencing significant sales growth, according to the RNS:

Having raised £4 million gross at 18.8 pence per share on 13 July 2021, the Bulletin Board Morons, although feeling somewhat sore given that the Tern (TERN) share price was 12.5 pence bid price at the close of business yesterday, might be consoling themselves thinking that, at least, the jam tomorrow specialists, won’t be asking for any more cash for some time. Sadly, that isn’t the case and I demonstrate below why they will very shortly be asked to stump yet more cash to feed the greedy board and its portfolio of loss making and cash guzzling investments.

AIM listed investment dog run by charlatans, Tern (TERN) has dashed the hopes of the Bulletin Board Morons when it issued the Device Authority funding update RNS which revealed that Device was not worth billions or even hundreds of millions but less than $40 million for 100% of the company based on latest funding round which included a new third-party technology investor (which presumably would have been granted access to the latest accounts, budgets and been able to assess the technology). Let us pray for those morons too stupid to listen to our countless warnings and thank heavens that the Salvation Army will be there to assist them this Christmas.

Device Authority Limited states that it has filed abbreviated accounts because it qualifies as a small company which it is why it only files a balance sheet and selected notes. The Bulletin Board Morons have worked themselves into a complete frenzy over Tern (TERN). At Friday’s closing mid-price of 24.75 pence per share, Tern is valued at £82 million versus Tern’s net assets as at 31 December 2020 of £24 million. In simple terms, Tern is valued at 3.4 times net assets. Tern’s net assets at that date basically comprised investments which are already recorded at fair value of £21.9 million and cash of £2.1 million.

Shares in Tern (TERN) are this morning tumbling as the company announced it was calling a GM to allow it to issue yet more confetti after the last GM failed to approve a motion for confetti issuance. But the share price is still insane as is anyone long of the stock as Nigel Somerville pointed out at the weekend. Just a reminder of the facts.

It’s a personally difficult day as I explain. But at least we have great news on the Rogue Bloggers for Woodlarks front as you can see HERE. Then I discuss shares, ref Tern (TERN), Quindell (QPP) and the fraud Supply@ME Capital (SYME).

As you may imagine, I have spent a bit of time today chatting with the Police. In a bearcast with a brief interruption for this reason, I discuss Bluebird Merchant Ventures (BMV), Tern (TERN), Block Commodities (BLCC) which exposes the moral bankruptcy of those who would shut us down – Versarien (VRS) and Eurasia Mining (EUA).

I am prompted by my hero Mr Peter Tatchell and having checked with another hero, Mr Kelvin MacKenzie, that I am not misquoting him, I shall be penning a piece tonight on this fascinating subject. Elsewhere I look at Pendragon (PDG), Nostra Terra Oil & Gas (NTOG), Wishbone Gold (WSBN), Tern (TERN), Dev Clever (DEV) and Supply@ME Capital (SYME) and why the FCA MUST act against the last two enterprises on my list today.

I refer, of course, to smokers. Before Malcolm gets on his high horse, hear me out. What I say is logical if a bit crazy. In that vein I also discuss the mad idea of buying the ten worst stocks on AIM and ask for your nominations. I start with Catenae Innovation (CTEA), Tern (TERN), Clear Leisure (CLP) and Attis Oil & Gas (AOGL). I also discuss the crazy idea of buying FinnCap (FCAP) shares. I look at the Powerhouse Energy (PHE) ramp and at the curious case of Anexo (ANX) placing today as directors dump shares. The Woodlarks walk appeal is now at 34% please, as I start another training walk this afternoon, donate HERE.

The photos below did not come out well but show the track now cut through the grass around our three fields here at the Welsh hovel where myself and the cats (pictured) went on a training walk today. Come June 13 I will complete this route 30-40 times and I beg you to sponsor me, as I look to raise the cash to save Woodlarks, now HERE. In the podcast I look at Belarus and Covid 19 referencing my article earlier today HERE, at Nigel’s dynamite expose of Tern (TERN) today and at why ShareSoc should be done under the Trades Description Act.

Hmmmmm, the auditor quit for reasons unexplained and the company hushed it up. There is a cash crisis by Christmas. The NAV is utterly questionable. The last placing was a flop. Why wouldn’t a journalist ask the odd question about Tern (TERN). And that is what myself and Nigel Somerville do as you can see HERE. But for the obsessive shareholder there can only be one reason for our articles which are ALL really writen by me. Meet Lloyd Leckerman who has sent me an email:

I start with the economic mess the Government has landed us all in. Will 25% of small businesses go bust or just 13% and who is going to pick up the tab? Then it is onto Purplebricks (PURP), Tern (TERN), Mosman (MSMN) and Bidstack (BIDS) where time is almost up, the Fat Lady is surely gargling now.

In Nigel’s article on Tern (TERN) yesterday he highlighted the change in auditors -a theme I took on in bearcast. As one of our regular commentators pointed out there is no longer a requirement to file resignation letters at Companies House unless the auditor has concerns or is the company is listed. However, the resignation does raise some concerns. Here is the proof something is very rotten in the state of Tern.

There are folks in a certain rain sodden second world nation objecting to an article on my own site HERE. The Mrs. Natch. It is all to do with mother-in-law jokes. At least one AIM CEO objecting to this article. And finally a chap who asribes evil motives to the timing of my investment in San Leon (SLE), without actually knowing a couple of key facts. I discuss the point he raises. In the main podcast I look at Tern (TERN), where I think Nigel S is wrong but that the boss is a rogue director as I explained at the weekend HERE, 88 Energy (88E), and Land Securities (LAND) and the entire commercial property sector.
1654 days ago
Nigel Somervile HERE and myself HERE both took apart yesterday’s ludicrous and dismal results announcement from AIM dog Tern (TERN). Neither of us believe its NAV is real but even if you are credulous enough to swallow that canard the shares should surely be 50% lower. Here’s why.

Mike Turner really is a stupid man. I find myself once again talking to the Law about his attempts to stop me exposing him as a defaming moron. I move on to discuss the conflicted riole of the broker to the POS that is Bidstack (BIDS). Then it is onto events at Motif Bio (MTFB) and Tern (TERN) and the way it presents its dismal results. Finally I have just recoreded a 90 minute video for Saturday with Mark Slater. I see that in the comments section NoGold reckons he will would learn nothing from Slater but NoGold is a genius. For everyone else that video is gold dust. Buy your tickets HERE.

Don’t worry the sun will still rise tomorrow and we are not ALL going to die of Coronavirus. I discuss the oil price crash and stockmarket slump and look in particular at: Tern (TERN), Carnival (CCL), Bidstack (BIDS), Versarien (VRS), the antics of market makers, Diversified Gas & Oil (DGOC), Bahamas Petroleum (BPC), BP (BP.), Shell (RDSB), Tullow (TLW), Optibiotix (OPTI) and Premier Oil (PMO)

Oh dear, oh dear, oh dear. AIM-listed jam-tomorrow (if ever) Internet of Things investment company Tern (TERN) has announced a placing at just 6p to raise just £0.8 million as predicted HERE to keep the lights on as its auditor is surely raising going concerns. That is a whopping 22.6% discount to last Friday’s close and 35% down on my tip of the year to sell when the shares were 9.25p. But there is more….

In today’s podcast I look at Versarien (VRS) and explain why Lucian Miers and I have fallen out over this one on the latest edition of ShareProphets Radio. I look at Tern’s (TERN) bollockese trading statement and ask “when’s the placing” or “Show Me The (lack of) Money”. I look at the (bad) news from UK Oil & Gas (UKOG) regarding Horse Hill and for me the numbers still do not stack up even with the shares having slumped to 0.675p. Finally, I hope I did enough to stop Steve Holdsworth from cancelling his subscription, so Steve how about making a small initial donation by way of thanks to Rogue Bloggers for Woodlarks HERE

Firstly so many thanks to all of you who donated to the Woodlarks Christnas Grotto appeal. 101% of our target has now been reached so I’ll call it a day. Thank you again. In today’s podcast I also discuss Big Dish (DISH), and Dev Clever (DEV) two examples of why you should never invest in an IPO and I have data to back that up. I look at Tern (TERN) and at Sound Energy (SOU), shame on James Parsons, and then in detail at Velocys (VLS).

AIM listed purveyor of jam tomorrow Tern (TERN) is effectively operating as a technology fund investment business. Its major issue, other than its repeated ability to play fast and loose with AIM Rules, is a lack of scale which creates a number of challenges.
1849 days ago
This morning we discover that AIM listed jam tomorrow purveyor Tern (TERN) has again passed the hat around with a discounted placing raising £1.75 million at 11.15p. But it was only able to get a placing away at that price because of spurious rumours which the company and its advisors must have been aware of and which it did nothing to quosh. I have written to the Oxymorons at AIM Regulation and to the chocolate teapots at the FCA requesting an urgent investigation into the company, its Nomad Allenby and broker Whitman Howard. It is not as if Tern does not have form in this respect.
1849 days ago
In today’s podcast I look at the looming General Election, at a pathetic excuse from Hargreaves Lansdowne (HL.) for not commenting on Neil Woodford, at Sound Energy (SOU), the ramp du jour Euraisia Mining (EUA), at the scandals at Tern (TERN) and Big Dish (DISH) and what they say about the institutionally useless FCA and AIM Regulation and at the profits warning from Empressaria (EMR).

Yesterday Tern (TERN) held an online Q&A session and I had wondered whether boss Al Sisto would dodge tough queeries. To his credit he did not. The Nomad blocked a few including one of the three that Nigel Somerville sent it but he answered the rest. I make no comment on his replies. I am no Tern-ologist although its valuation looks demanding to me. But i respect Mr Sisto for facing up to his critics.

I urge him to state clearly that attacking charities for the disabled is obscene and to make a donation HERE - as should any bearcast listener who has not done so already! I have recorded a special Woodlarks podcast today which you can listen to HERE. Darren uploaded yesterday's podcast by mistake becuase he is a fucking idiot. I am considering his future and mine tonight. Here now is today's podcast. To tip Quindell before Gotham City and I started to expose it was perhaps understandable. But to single it out as a stunning value investment afterwards? Who could have been so fecking dumb? As you can see HERE it was the same system also that thought Globo was a cracking investment when some of us very publicly said it was a fraud. Which system could be so bad? Step forward Ed Croft and Stockopedia and he says that Nigel Wray invests in "sucker stocks"?. I explain why Ed's system is bound to have some horrible failures and miss a stack of big winners. In this podcast I also look at Vitesse (VIS), Tern (TERN), Inspirit (INSP) which has a mega spoof today and Online Blockchain (OBC) where I am just a confused old dinosaur.

RT may change its mind but as things stand I am about to head off to BBC Bristol to record an interview on Russian Collusion in the US Elections. I am happy to do my bit for the President (that is Trump not Putin). We all know who the real criminal is in this affair. Meanwhile I discuss On Line (ONL) but even greater madness at Intelligent Energy (IEH) where one Bulletin Board Moron is in full flow and the (worthless) shares are up by 70%. Then it is onto Tern (TERN), Servision (SEV), another few comments on Andalas (ADL), 13 Energy (I3E) and finally a detailed look at the rum and coke statement from worthless Boxhill (BOX). I hope Cynical Bear will give Boxhill an even bigger duffing up overnight.

Given that Device Authority Limited represents almost 100% of Tern’s (TERN) investment portfolio and thus is very material to investment performance and its share price why is there so little financial disclosure about the performance of Device Authority in accounts of Tern Plc? Tern (TERN) is very excited about Device Authority which it values at £7,144,288 which represents over 98% of the net assets of the company. So Tern’s credibility when valuing investments is important. So let’s have a look at its historic track record.

Today’s AGM from Tern (TERN) has thrown up a statement which is – as you would expect – meaningless gibberish. I refer mainly to cash – always an issue with companies run by crony capitalist Angus Forrest, a man who was told by the Old Bill that he was silly for trying to have me arrested a few weeks ago (see HERE).
There is the usual bullish guff about the investee companies but it is clear that they are both burning cash. Another historic trait of Forrest ventures.

Given the sheer insanity of the LSE Asylum Quindell (QPP) thread last week and forthcoming Worthington (WRN) events and the denial among Afren (AFR) shareholders the competition is back but is limited to just these three stocks. I have just taken a call from Lavender Hill Police station because crony capitalist Angus Forrest of POS Company Tern (TERN) has reported me for harassment. I had a great chat with a very nice police officer who said that the case was no closed and that Mr Forrest would be told “there is no case”.
I pointed out that three times in the past few weeks this website has pointed out that Tern has issued a statement via RNS which is factually inaccurate and that Tern has then had to publish a correction. Our job is to save investors by pointing out such matters and that is not harassment. The police officer agreed totally describing Mr Forrest's complaint as "silly."

Individuals commit fraud not companies. We have lost that understanding over the past 30 years and that is the great failure of regulation for the banksters and the AIM casino. Angus Forrest of Tern (TERN) has asked that we publish in full a letter in which he laments the piss poor journalism of Tom Winnifrith and Nigel Somerville. We are delighted to publish Mr. Forrest’s letter since we believe it incriminates him even more in scandal. Our response will follow within thirty minutes. Forrest writes:
Dear Sirs,
Many unfounded allegations have been made against me and my colleagues concerning our time at Digital Learning Marketplace (DLM).
These allegations have been made at the UK Investor Show and on the Share Prophets’ website by Nigel Somerville and Tom Winnifrith
3791 days ago
We are pleased that Angus Forrest has given his side of the story with regard to what went on at DLM in 2012 - HERE. Whilst we believe his explanations fall short of satisfactory, at least he has taken the time and trouble to respond to some of the questions raised but we still call for the noose. Answering his points in turn…
Many unfounded allegations have been made against me and my colleagues concerning our time at Digital Learning Marketplace (DLM).
These allegations have been made at the Investor Show and on the Share Prophets’ website by Nigel Somerville and Tom Winnifrith
I wish to clarify to the readers of Share Prophets that at no time did Mr Somerville or Mr Winnifrith contact or meet me to corroborate any of the allegations made against me or anyone else that has been accused of “malfeasance” across some 15 separate articles. As a result I would like to take this opportunity to publicly respond to as many allegations as I can detect from the various disjointed articles published on Share Prophets.
They are not unfounded. Much of what has been said is based on announcements and documents for which Mr Forrest was himself directly responsible. We note that certain allegations including the misleading CV Mr Forrest posted on the Shareholder Circular which saw him elected to the board of Tern (TERN) are not addressed. Why not? Because no amount of sophistry can hide the fact that Mr Forrest misled.

I have flagged to AIM Regulation the numerous failings of Roland “Fatty” Cornish and his Nomad firm Beaumont Cornish. Once again I have written to Regulation today asking it to investigate why Fatty allowed Digital Learning Marketplace to publish as an RNS a total lie in August 2012. My start witness is….Angus Forrest now at Tern PLC (TERN) but then at DLM. Forrest is an honourable man and so has, I suspect inadvertently, dobbed Fatty in to The Sheriff of AIM
My letter follows:
Dear Sirs.
The standing of the Casino that you regulate, namely AIM, is dependent on Nomads who are responsible for the veracity of RNS releases ensuring they are true. In that vein I bring you an allegation made by a fine upstanding citizen Mr Angus Forrest in which he explicitly states that Mr Roland “fatty” Cornish of Nomad Beaumont Cornish signed of an RNS knowing it to be untrue.
Naturally I believe every word that Mr Forrest says and so ask you to investigate this matter. For if this allegation is true AIM must surely withdraw the permissions of Beaumont Cornish to act as a Nomad lest its pristine reputation be in any way tainted.

For the fourth time I have written to AIM regulation asking for a formal investigation into whether Roland “fatty” Cornish and his firm Beaumont Cornish carried out its supervisory duties adequately in the period June-September 2012 with regard to Digital Learning Marketplace (DLM), now Alpha Returns (ARGP), a firm then run by crony capitalists Angus Forrest & Bruce Leith who are now running Tern PLC (TERN) into the ground. This is prompted by the shock whistle-blower letter from July 17 2012 which I published in full yesterday, HERE.
That letter was sent to Fatty.

With thanks to Spandau Ballet, I open what I hope will be my final piece on the matter of Angus Forrest, Bruce Leith and Tern (TERN) – at what point do the non-exec and advisors realize that without regime change this company is uninvestable and will thus go bust? For shareholder’s sake one hopes that point is now.
Deputy Sheriff Comrade Nigel Somerville, of the 1st Oxfordshire Peasants Army laid out the rap sheet against Forrest and Leith in full at the weekend HERE.
Over the past ten days in excruciating detail he and I have shown how at Digital Learning Marketplace (and indeed at Tern) the two men have systematically misled investors with statements that were untrue or by not revealing information germane to the investment case.
Tern is more or less bust anyway

A letter sent on 17th July 2012 by a whistle-blower to Roland “fatty” Cornish of Beaumont Cornish, Nomad to Digital Learning Marketplace (DLM) now Alpha Returns (ARGP) relating to its financial position and the conduct of Angus Forrest & Bruce Leith has fallen into the hands of The Sheriff of AIM. Oh dear, oh dear...shall I publish this explosive document and ruin some crony capitalists? Hmmmmm.
This letter was ignored. It makes it abundantly clear that Fatty was not performing adequate regulatory oversight (I feel another letter to AIM Regulation is on the way) and that Forrest & Leith are not fit to run Tern PLC (TERN) where they are, pro tem, in charge.
The letter is from an associate of Andy Hasoon who was suspended as CEO on 16th July, something that Fatty, Forrest & Leith failed to tell the market about as they should have as I revealed HERE. The letter reads.

Not that I wish to influence your vote in any way but surely you must now have enough reasons to consider voting for Angus Forrest of Tern (TERN) in the “lifetime Achievement for value Destruction” category in the AIM Cesspit awards. But maybe you think there are stronger candidates.

The calls for intervention in Iraq to stop the uprising by Islamofascist nutters grow louder by the day. We were wrong to invade Iraq illegally in the first place (thanks a bunch war criminal Blair) and we would be wrong to intervene in the latest mess.
In this video Tom explains the Ron Paul theory of “blowback” and the folly of Western intervention at every level.
Tom’s financial postcard covers Quindell, Tern and why an RNS lie on the AIM Cesspit always matters. It can be viewed here.

Earlier today one of the deputy Sheriffs of AIM, Comrade Somerville, flagged up massive issues with the CVA agreed by Digital Learning Marketplace (DLM), now Alpha Returns (ARGP) under the watch of Angus Forrest and Bruce Leith, the two men now running Tern PLC (TERN), into the ground. But Deputy Somerville misses out a couple of points which just add to the scandal which, in a just world, would mean Forrest & Leith swinging on a corporate noose this week.
Some might say that CVAs are complex and that Forrest & Leith could be forgiven the odd error (albeit some pretty massive ones). But that would be to ignore their track record.

Tern (TERN) chairman Angus Forrest is fleeing the country. Okay, I exaggerate, he is on a boat to France as he prepares for a week’s holiday. How do I know? Because he has just called me. Forrest tells me that what I am about to publish is confidential. But since it is explosive does he think I give a FF? Come on DLM (now Alpha Returns), Forrest, Bruce Leith go send me a lawyers letter if you want.
The Sheriff of AIM is not scared by such threats and Angus Forrest and Bruce Leith, as of yesterday, are officially “in sights” - see HERE
On 14th August 2012 Digital Learning Marketplace run by Angus Forrest and Bruce Leith issued this RNS:

Angus Forrest the chairman of Tern (TERN) and his sidekick Bruce Leith must be sacked at once for the series of lies they told while running AIM Cesspit listed Digital Learning Marketplace between June and September 2012 and for the clear corporate malfeasance that took place. The are now officially "In sights" and the Sheriff of AIM is on the warpath - see HERE. The list of Forrest's crimes exposed here is growing so just to start of what will be a blitz of revelations I offer him an easy opener. When did DLM part company with its CEO Andy Hasoon?

The Sheriff of AIM has Angus Forrest of AIM Cesspit listed Tern PLC officially “in sights” as you can read HERE. You can expect a series of bombshells over the next forty eight hours and if that does not end his PLC career then I guess that I shall have to keep going.
In light of this I invite your suggestions for a caption for the picture below. Please post them in the comments section beneath this article.

Oh dear. Oh dear. If Angus Forrest, the chairman of AIM Cesspit listed Tern PLC (TERN) was having a bad weekend it just got a lot worse as a raft of new documents have fallen into my possession regarding events at DLM (where he was chair) back in July-September 2012. And as for DLM’s Nomad, Roland “fatty” Cornish? Roland, do you just ignore whistleblowers and allow your clients to lie to investors? Fatty you are also deep in the merde now. I have a damning email which you do not wish to seepublished. Oh dear I am not the sort of guy not to publish am I?
But, for now, the Sheriff of AIM has had a good lunch with Mrs Sheriff and is off for an afternoon snooze. I will then start publishing extracts from the documents and emails one by one, demonstrating that Forrest LIED systematically on a range of issues in RNS statements signed off by Fatty. And that his co-director Bruce Leith was in on it all.

I have now twice demanded that Tern PLC (TERN) sack Angus Forrest and Bruce Leith because of statements made when they ran Digital Learning Marketplace (DLM) - now Alpha Returns (ARGP) in 2012. But it gets far worse…
To read my first demand for the heads of Forrest and Leith click HERE
To read my second demand for the heads of Forrest and Leith click HERE
The issues are that the two men were responsible for RNS statements that were quite frankly lies. The first (August) concerned an unconditional contract that was in fact a conditional contract. That act of misleading allowed a placing to be undertaken. The second was a September AGM statement which was upbeat. But at the same time the CVA of DLM’s main operating unit was already underway, the contracts had gone and DLM itself was heading towards a CVA.
This morning I have been told by a reliable source

I outlined on Friday why Tern PLC (TERN) must fire its chairman Angus Forrest and his gopher sidekick Bruce Leith NOW. Quite simply they have been shown to have committed corporate malfeasance and to have lied to investors at the last POS company they were in charge of – what was then Digital Learning Marketplace (DLM) and is now Alpha Returns (ARGP). I have written – as you can see HERE - to the Nomad (John Wakefield at WH Ireland) and Non Exec, Laurence Read ( a totally honourable man) demanding that they fire the two crony capitalists at once. But it gets worse.

Nigel Somerville has earlier today (HERE) published the most extraordinary evidence of corporate malfeasance at what was Digital Learning and is now Alpha Returns (ARGP). The two directors exposed by Nigel now run Tern PLC (TERN), another sub scale investment company on the AIM Cesspit. I demand that they be fired NOW!
The FCA and other watchdogs are fully aware of the evidence that Nigel has gathered and investigations are underway. The Non Exec at Tern Laurence Read is an honourable guy and he could choose to wait for the official regulators to act. However the evidence is now out there in the public domain. The Sheriff of AIM has a noose at hand and suggests that Read and Nomad John Wakefield of WH Ireland use it. Forrest and Leith must go NOW!
In that vein I have just written to John and Laurence as follows.
Dear Laurence & John.

Tern (TERN) is the new name for a disastrous oil company called Silvermere. At least Silvermere tried to do something useful (produce oil), Tern is just another AIM Cesspit do-nothing posterboy investing company. And it cannot even bring itself to tell the truth.
